Agreement to Terms of Use

These Website Terms of Use (the "Terms of Use"), along with these Trademark Usage Guidelines, apply to the EnterpriseDB Website located at (the "Website"), which is the property of EnterpriseDB Corporation ("EnterpriseDB") and its licensors. By using or visiting the Website, you agree to comply with, and be bound by, these Terms of Use and all applicable laws and regulations. Please review the following Terms of Use carefully. If you do not agree to these Terms of Use, you may not access or use the Website. The terms "we" and "our" refer to EnterpriseDB. The terms "you" and "your" refer to the user or viewer of the Website.

EnterpriseDB reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use at any time without notice. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Website following the posting of changes will mean that you accept and agree to the changes. If you are entering into this Agreement for an entity, such as the company you work for, you represent to us that you have legal authority to bind that entity. 


EnterpriseDB's Privacy Policy applies to use of this Website. The Privacy Policy is incorporated into these Terms of Use by this reference. Additionally, by using the Website, you acknowledge and agree that Internet transmissions are never completely private or secure. You understand that any message or information you send to the Website may be read or intercepted by others, even if there is a special notice that a particular transmission (for example, credit card information) is encrypted. By using the Website, you consent to have your personal data transferred to, and processed in, the United States. While on either site, if you are from the European Economic Area or Switzerland and share personal information with EnterpriseDB, the Privacy Shield Policy shall apply.

Terms of Use for Beta Software, Tech Preview, or Free Tools

Note that EnterpriseDB may provide beta software, tech previews or free tool offerings through its website. As to those specific offerings, see the Beta, Tech Preview and Free Tools terms in the EULA. The Migration Portal is a Free Tool.

EDB Software, including any Beta, and any EDB Support, Services, or related technology available on or through the Website are subject to U.S. export controls and economic sanctions laws and regulations, including the U.S. Export Administration Regulations (“EAR”) and regulations promulgated by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”), and may be subject to export or import regulations in other countries. You agree to comply with all such applicable laws and regulations and acknowledge your responsibility to obtain all necessary and appropriate export, reexport, transfer, or import licenses or other authorizations. You will not, directly or indirectly, export, reexport, transfer (in-country), or allow access to or use of any EDB Software (including the Beta Software), Support, Services, or related technology to, in, by, or for any sanctioned or prohibited country, region, person, or end use under U.S. law without authorization from the U.S. government. For avoidance of doubt, prohibited end uses can include, but are not necessarily limited to, weapons proliferation activities; military or military-intelligence end uses in or for certain countries, including Belarus, Burma, Cambodia, the People’s Republic of China (including Hong Kong), Nicaragua, the Russian Federation, and Venezuela; certain energy projects in Russia or benefitting Russian entities; and certain supercomputer, advanced-node integrated circuit, and semiconductor manufacturing end uses in or for certain countries, including the People’s Republic of China (including Hong Kong and Macau) and other countries listed in Country Group D:5 in the EAR, 15 C.F.R. Part 740, Supp. No. 1.

You also certify that you are not subject to U.S., European Union, United Kingdom, United Nations, or other applicable sanctions or export restrictions, such as by being (a) designated on or pursuant to the U.S. Department of Commerce’s Denied Persons List, Unverified List, Entity List, or Military End User List; the U.S. Department of State’s Non-Proliferation Sanctions Determinations; OFAC’s Specially Designated Nationals List, Foreign Sanctions Evaders List, or Sectoral Sanctions Identifications List; or sanctions-related U.S. Executive Orders; (b) located or ordinarily resident in; or employed by, owned or controlled by, or otherwise acting on behalf of an entity located, ordinarily resident, or headquartered in; a country or region subject to comprehensive or near-comprehensive U.S. or other applicable sanctions/embargo; (c) an official, employee, agent, or contractor of, or directly or indirectly acting or purporting to act for or on behalf of, a government (including any political subdivision, agency, or instrumentality thereof or any person directly or indirectly owned or controlled by any of the foregoing) or political party (including any organ or body thereof) subject to U.S. or other applicable sanctions/embargo; or (d) part of the national armed services (army, navy, marine, air force, or coast guard), the national guard, the national police, or a government intelligence or reconnaissance organization in Belarus, Burma, Cambodia, the People’s Republic of China (including Hong Kong), Nicaragua, the Russian Federation, or Venezuela; or otherwise qualifying as a “military end user” or “military-intelligence end user” (as those terms are defined in Sections 744.21 and 744.22 of the EAR, 15 C.F.R. §§ 744.21, 744.22, and related U.S. government guidance), such as by developing, producing, maintaining, or using military items in or for the above-referenced countries.


All content available on the Website including, without limitation, text, graphics, user interfaces, visual interfaces, photographs, logos, artwork and computer code (collectively, "Content"), including but not limited to the design, structure, selection, coordination, expression, "look and feel" and arrangement of such Content, contained on the Website is owned, controlled or licensed by or to EnterpriseDB, and is protected by laws relating to trade dress, copyright, patent, unfair competition, trademark, and/or other forms of intellectual property rights and by other applicable law and EnterpriseDB reserves and retains all rights in and to such Content.

The name and mark "EnterpriseDB" and any other names, marks, logos, graphics, designs, webpage designs, and icons of EnterpriseDB used in connection with the Website are registered or unregistered trademarks, service marks, or trade dress of EnterpriseDB (the "Marks"). You may not use the Marks other than in connection with any incidental use as necessary to view and access the Website.

Except as expressly provided in these Terms of Use, no part of the Website and no Content or Marks may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including "mirroring") to any other computer, server, website or other medium for publication or distribution or for any commercial enterprise, without EnterpriseDB's express prior written consent.

Your Use of the Website

EnterpriseDB is not responsible for the conduct, whether online or offline, of any user of the Website.

You may not attempt to gain unauthorized access to any portion or feature of the Website, or any other systems or networks connected to the Website or to any EnterpriseDB server, or to any of the services offered on or through the Website, by hacking, password "mining" or any other illegitimate means.

You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Website or any transaction being conducted on the Website, or with any other person's use of the Website.

You may not use the Website or any Content, or post any messages or content, for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of EnterpriseDB or others.
